These Trade Block Participation Terms supplement the Dealer Platform Agreement and govern participation in RideFirst Finance's dealer-to-dealer unit trading network. Participation in Trade Block constitutes acceptance of these terms in addition to the main Dealer Agreement.
Trade Block is a private, dealer-exclusive network within the RideFirst Finance platform that enables registered dealers to list powersports units for trade or acquisition by other platform dealers. It is designed to help dealers move aging inventory, source specific units for customer orders, and reduce reliance on auction channels.
Trade Block is visible only to approved platform dealers. Units listed on Trade Block are not displayed on the public RideMarket marketplace unless the dealer explicitly opts the unit into both channels.
Trade Block access is available to all active RideFirst Finance dealers in good standing with a current subscription and no outstanding payment obligations. RideFirst Finance reserves the right to:
When listing a unit on Trade Block, the listing dealer ("Seller Dealer") warrants that:
Listing units that are not available, misrepresenting condition, or posting fictitious or placeholder listings to gauge interest is strictly prohibited and will result in Trade Block suspension.
All initial trade inquiries between dealers are facilitated through the Trade Block messaging system within the dealer portal. Dealers agree to:
Once an inquiry has progressed to a confirmed trade discussion, dealers may exchange direct contact details to facilitate the transaction.
Trade Block facilitates discovery and introduction between dealers. The actual trade transaction occurs directly between dealers, outside the RideFirst Finance platform. Dealers are responsible for:
RideFirst Finance is not a party to any Trade Block transaction. We do not hold funds, facilitate payment, provide escrow services, or guarantee the completion of any trade. All transactions are at the risk of the participating dealers.
The following are strictly prohibited within Trade Block:
RideFirst Finance is not a party to Trade Block transactions and is not obligated to mediate or resolve disputes between dealers. However, we take the integrity of the Trade Block network seriously.
If a dealer reports a conduct violation by another dealer, RideFirst Finance may:
Any legal dispute between dealers arising from a Trade Block transaction must be resolved directly between those dealers, including any claims for damages, misrepresentation, or breach of a trade agreement.
RideFirst Finance provides Trade Block as a dealer networking tool only. We are not a broker, agent, auctioneer, or party to any trade transaction facilitated through Trade Block. Accordingly:
RideFirst Finance reserves the right to suspend or permanently remove a dealer from Trade Block for:
Trade Block suspension does not automatically constitute suspension from the main dealer platform, unless the conduct also violates the Dealer Platform Agreement.
RideFirst Finance may modify, expand, restrict, or discontinue Trade Block features at any time with reasonable notice to participating dealers. We may introduce network fees in the future for specific Trade Block features; such fees will be announced with at least 30 days' notice and will not be applied retroactively.
