Please read these Terms of Service carefully before using the RideFirst Finance platform. By accessing or using our website, submitting a financing application, or using any of our services, you agree to be bound by these terms. If you do not agree, please do not use our platform.
Section 01
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RideFirst Finance ("RideFirst," "we," "us," or "our"), a business operating in Alberta, Canada.
By accessing ridefirstfinance.ca or ridemarket.ca, submitting a financing application, creating an account, or otherwise using any feature of our platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
Your continued use of the platform after any update to these Terms constitutes acceptance of the revised Terms.
Section 02
Description of Services
RideFirst Finance provides the following services through its platform:
- Consumer Financing Facilitation: We help individuals explore and apply for powersports financing by connecting them with lenders and dealer partners. We are a financing facilitator, not a lender.
- Powersports Marketplace (RideMarket): A listing platform for new and used powersports units โ motorcycles, ATVs, snowmobiles, side-by-sides, watercraft, trailers, and e-bikes โ offered by dealers and private sellers.
- Dealer Platform Services: Software tools for registered powersports dealers, including inventory management, CRM, deal processing, and related dealer portal features.
- Informational Content: Educational resources about powersports financing, F&I products, and the buying process.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
Section 03
Eligibility
To use our platform and submit a financing application, you must:
- Be at least 18 years of age
- Be a resident of Canada
- Have the legal capacity to enter into a binding contract
- Provide accurate and truthful information in all submissions
We reserve the right to deny access to or terminate accounts for any user who does not meet these requirements or who violates these Terms.
Section 04
Your Application and Information
When you submit a financing inquiry or application through our platform, you agree that:
- All information provided is accurate, complete, and current
- You authorize RideFirst Finance to share your application information with lenders, financial institutions, and dealer partners for the purpose of securing financing on your behalf
- Submitting an application does not guarantee financing approval โ all financing decisions rest with the applicable lender
- You may be contacted by RideFirst Finance representatives, partner dealers, or lenders regarding your application
- Providing false information may constitute fraud and could result in legal consequences
RideFirst Finance is a financing facilitator. We do not make lending decisions and are not responsible for the terms, conditions, or decisions made by any lender or financial institution.
Section 05
Financing โ Important Disclosures
The following disclosures apply to all financing-related activities on our platform:
- Not a lender: RideFirst Finance does not provide loans or extend credit. We facilitate connections between applicants and third-party lenders.
- No guaranteed rate: Any financing rates, payment estimates, or calculator outputs shown on our platform are estimates only and do not constitute a financing offer. Actual rates depend on lender approval, creditworthiness, vehicle type, and other factors.
- Credit inquiries: Lenders may conduct credit bureau inquiries as part of the financing process. You will be notified before any hard credit pull is initiated.
- Third-party terms apply: If you obtain financing, your agreement is with the lender, and you are bound by their separate terms and conditions.
- No fees to apply: Submitting a financing application through RideFirst Finance is free for consumers. We may receive compensation from lenders or dealers when a deal is completed.
Section 06
Marketplace and Listings
The RideMarket marketplace connects buyers with dealers and private sellers. The following terms apply:
- Listings are provided by third-party dealers and sellers. RideFirst Finance does not own, inspect, or warrant any listed vehicle.
- Pricing, specifications, availability, and condition information are the responsibility of the listing party. We do not independently verify this information.
- Any transaction between a buyer and a seller/dealer occurs outside of our platform. We are not a party to those transactions and accept no liability for disputes arising from them.
- We reserve the right to remove any listing that violates our Acceptable Use Policy or these Terms.
Section 07
Prohibited Uses
You agree not to use our platform for any of the following:
- Submitting false, misleading, or fraudulent information
- Impersonating any person, business, or entity
- Scraping, crawling, or harvesting data from our platform without written permission
- Attempting to gain unauthorized access to any portion of the platform or its underlying systems
- Interfering with the proper functioning of the platform (e.g., DDoS attacks, injection attacks)
- Using the platform for any unlawful purpose or in violation of any applicable Canadian federal or provincial law
- Posting spam, unsolicited communications, or fraudulent listings
Violation of these prohibitions may result in immediate termination of access and may be referred to law enforcement authorities.
Section 08
Intellectual Property
All content on the RideFirst Finance and RideMarket platforms โ including but not limited to logos, design, text, software, and graphics โ is the property of RideFirst Finance and is protected by Canadian copyright and intellectual property law.
You may not reproduce, distribute, modify, or create derivative works from any content on our platform without prior written consent. Dealers granted access to embed inventory feeds or white-label tools do so under a limited, revocable license as described in their dealer agreement.
Section 09
Disclaimer of Warranties
Our platform and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, RideFirst Finance disclaims all warranties, including:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the platform will be uninterrupted, error-free, or free of viruses or other harmful components
- Any warranty as to the accuracy or completeness of any content, listings, or calculator results on the platform
Section 10
Limitation of Liability
To the maximum extent permitted by applicable law, RideFirst Finance, its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform, including but not limited to:
- Loss of income or profits
- Loss of data
- Damages arising from reliance on financing estimates, calculator outputs, or listing information
- Damages arising from transactions between users and third-party dealers or sellers
In no event shall our total liability to you for any claim exceed the amount you paid to us (if any) in the six months preceding the claim.
Some Canadian provinces do not allow exclusion of certain implied warranties or limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.
Section 11
Indemnification
You agree to indemnify, defend, and hold harmless RideFirst Finance and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms
- Your submission of false or fraudulent information
- Any transaction you enter into with a dealer or seller through the marketplace
- Your violation of any applicable law or third-party rights
Section 12
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or your use of our platform shall be resolved in the courts located in Alberta, Canada, and you consent to the jurisdiction of those courts.
We encourage you to contact us first to attempt to resolve any dispute informally before initiating formal legal proceedings.
Section 13
Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will update the effective date shown at the top of this document. We may also provide notice through the platform or by email.
Your continued use of the platform following any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the platform.
