Private Seller Terms

Agreement and Parties

These Private Seller Terms ("Terms") constitute a legally binding agreement between you ("Seller," "you," or "your") and RideFirst Finance, operating the RideMarket marketplace at ridemarket.ca and ridefirstfinance.ca ("RideMarket," "we," "us," or "our"), a business based in Alberta, Canada.

These Terms govern your use of the RideMarket private seller portal, including account creation, listing submission, listing management, and all related interactions with the platform.

Eligibility

To list a vehicle on RideMarket as a private seller, you must:

• Be at least 18 years of age
• Be a resident of Canada
• Be the legal owner of the vehicle you are listing, or be explicitly authorized by the legal owner to list it for sale
• Be listing as a private individual — not as a registered or operating vehicle dealer. Dealers must apply through the dealer program.
• Have the legal capacity to enter into a binding contract
• Provide accurate and truthful information throughout the listing process

We reserve the right to verify eligibility and to remove listings or suspend accounts where eligibility requirements are not met.

Creating a Seller Account

To list on RideMarket, you must create a private seller account using a valid email address. You agree to:

• Provide accurate registration information including your name, email address, and contact details
• Keep your account credentials confidential and not share access with any third party
• Notify us immediately if you become aware of any unauthorized use of your account at support@ridefirstfinance.ca
• Take responsibility for all activity conducted under your account

One seller account per individual. Creating multiple accounts to circumvent listing limits or account suspensions is prohibited.

Listing Obligations

You are solely and fully responsible for the accuracy and completeness of every listing you submit. By submitting a listing, you warrant that:

• The year, make, model, trim, and VIN are accurate and match the actual vehicle
• The odometer reading is accurate to the best of your knowledge and has not been tampered with
• The asking price reflects a genuine offer to sell — not a placeholder, anchor price, or bait price
• The vehicle condition is honestly described, including any known mechanical issues, accident history, cosmetic damage, or modifications
• The vehicle is currently available for sale — you will remove or mark the listing as sold promptly once the vehicle is no longer available
• All information provided is current and up to date for the duration the listing is active

Title, Liens, and Legal Ownership

By listing a vehicle on RideMarket, you represent and warrant that:

• You are the registered legal owner of the vehicle, or have written authorization from the legal owner to list and sell it
• The vehicle is free of all undisclosed security interests, liens, or encumbrances — if a lien exists, it must be disclosed in the listing description
• You have the legal right to sell the vehicle and can provide clear title to the buyer upon completion of the sale
• The vehicle has not been reported stolen and is not subject to any legal hold, court order, or seizure

Listing a vehicle you do not own, that is subject to an undisclosed lien, or that has been reported stolen is a serious violation of these Terms and may constitute fraud under Canadian law. RideMarket will cooperate fully with law enforcement in such cases.

Prohibited Listings

The following are strictly prohibited on RideMarket:

• Vehicles with rolled-back or tampered odometers
• Vehicles with undisclosed salvage, rebuilt, or branded titles
• Vehicles that are stolen or obtained through fraud
• Vehicles subject to an undisclosed active lien or security interest
• Vehicles that are not road-legal or registerable in the buyer's province without clear disclosure
• Non-powersports items — only motorcycles, ATVs, dirt bikes, side-by-sides, snowmobiles, watercraft, trailers, and e-bikes are permitted
• Commercial dealer inventory — registered dealers must use the dealer program
• Duplicate listings for the same vehicle
• Placeholder or fictitious listings posted to gauge market interest with no genuine intent to sell
• Listings containing false contact information or designed to harvest buyer data

Photos and Media

Photos submitted with a listing must:

• Depict the actual vehicle being listed — stock photos or photos of similar vehicles are not permitted
• Accurately represent the vehicle's current condition — photos must not conceal known damage
• Be photos that you own or have the right to use — you must not submit photos taken by or belonging to another party without authorization

By submitting photos to RideMarket, you grant RideFirst Finance a non-exclusive, royalty-free license to display, reproduce, and syndicate those photos for the purpose of operating and promoting the marketplace listing.

This license ends when your listing is removed or your account is closed, except where the photos have already been cached or distributed through syndication partners, in which case a reasonable wind-down period applies.

Buyer Inquiries and Conduct

When buyers contact you through RideMarket regarding your listing, you agree to:

• Respond to inquiries honestly and in good faith
• Not misrepresent the vehicle's condition, price, or availability in any communications with buyers
• Not use buyer contact information obtained through RideMarket for any purpose other than completing the sale of the listed vehicle
• Not spam, harass, or solicit buyers for unrelated products or services
• Conduct yourself professionally and respectfully in all buyer interactions

Transactions and Sales

RideMarket is a listing and discovery platform only. All transactions occur directly between the seller and buyer. As a seller, you are responsible for:

• Negotiating and agreeing on a final sale price with the buyer
• Executing a proper bill of sale as required by your province
• Completing the transfer of registration and title in accordance with provincial motor vehicle regulations
• Disclosing any known defects or issues that may not be visible in photos or the listing description
• Collecting and remitting any applicable GST/HST if you are a GST registrant (most private sellers are exempt, but consult a tax professional if unsure)
• Arranging safe and appropriate payment — we strongly recommend in-person payment via certified cheque, bank draft, or e-transfer with verification before releasing the vehicle

RideMarket's Role and Liability

RideMarket provides a listing platform and is not a party to any transaction between a seller and a buyer. We do not:

• Inspect, verify, or warrant the condition of any listed vehicle
• Verify ownership, title, or lien status of listed vehicles
• Process or guarantee payment between parties
• Act as an agent, broker, or intermediary in any sale
• Provide buyer or seller protection programs

To the maximum extent permitted by applicable law, RideFirst Finance shall not be liable for any loss, damage, or expense of any kind arising from:

• A transaction conducted through a RideMarket listing
• A buyer's or seller's misrepresentation, fraud, or breach of these Terms
• Platform downtime, listing errors, or technical failures
• Any dispute between a buyer and seller

Listing Removal and Account Suspension

RideMarket reserves the right to remove any listing or suspend any seller account at any time, without prior notice, if we determine in our sole discretion that:

• A listing violates these Terms or our Acceptable Use Policy
• A listing contains false, misleading, or fraudulent information
• A seller has received substantiated complaints from buyers
• A seller's account is being used for commercial dealer activity
• A vehicle has been reported stolen or is subject to legal proceedings
• We receive a valid legal request to remove the listing

Sellers whose accounts are suspended for fraud or misrepresentation are permanently banned from the platform. We reserve the right to report serious violations to law enforcement authorities.

Your Data and Privacy

We collect and use your personal information in accordance with our Privacy Policy and applicable Canadian privacy law (PIPEDA).

Specifically regarding your seller account and listings:

• Your contact information (name and email) is used to manage your account and communicate with you about your listings
• Your listing content (photos, descriptions, pricing) is displayed publicly on the marketplace
• We do not sell your personal information to third parties
• You may request deletion of your account and associated data at any time by contacting us — note that listings already indexed by search engines may take time to de-index

Intellectual Property

All platform software, design, branding, and technology comprising RideMarket is the property of RideFirst Finance. Your use of the platform does not grant you any rights to our intellectual property.

You retain ownership of original content you create (listing descriptions, your own photos). By submitting this content to the platform, you grant us the limited license described in Section 7 (Photos) and a corresponding license for listing text, for the purpose of displaying and operating the marketplace.

Indemnification

You agree to indemnify, defend, and hold harmless RideFirst Finance, RideMarket, and their officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Any misrepresentation in your listing or communications with buyers
• Any dispute arising from a sale of your listed vehicle
• Your violation of any applicable law, including consumer protection legislation
• Any claim by a buyer related to title defects, undisclosed liens, or vehicle condition

Limitation of Liability

To the maximum extent permitted by applicable law, RideFirst Finance's total liability to you in connection with your use of the RideMarket seller platform shall not exceed CAD $100 in aggregate, regardless of the form or basis of any claim.

In no event shall RideFirst Finance be liable for indirect, incidental, consequential, punitive, or special damages of any kind arising from your use of the platform or any transaction facilitated through it.

Governing Law

These Terms are governed by the laws of the Province of Alberta and applicable federal laws of Canada. Any disputes arising under these Terms shall be resolved in the courts of Alberta, and you consent to the jurisdiction of those courts.

We encourage you to contact us first to attempt to resolve any dispute informally before pursuing formal legal action.

Changes to These Terms

We may update these Terms at any time. When we make material changes, we will update the effective date shown above and may notify you by email if you have an active seller account. Your continued use of the seller portal after the effective date of any update constitutes acceptance of the revised Terms.

If you do not agree with updated Terms, you must remove your listings and close your seller account.
